MLTOONS Terms & Conditions

1. Definitions

The following terms have specific meanings throughout these Terms & Conditions:

• "Service" refers to the MLTOONS Español platform, including all web pages, games, videos, activities, and educational content accessible at spanish.mltoons.com and related domains.
• "User" refers to any person who accesses or uses the Service, including Teachers, Parents, and Students.
• "Teacher" refers to an adult (18+) who creates an account to manage student learning, including educators, tutors, homeschool parents, and institutional administrators.
• "Parent" refers to an adult (18+) who creates an account for their child's personal use.
• "Student" refers to a child who uses the Service under the supervision of a Teacher or Parent. Students do not create their own accounts.
• "Student Data" refers to any information related to a student that is collected or generated through use of the Service, including progress data, activity completion, scores, and login records.
• "Personal Information" refers to information that identifies, relates to, or could reasonably be linked to a specific individual, as defined under COPPA.
• "Content" refers to all educational materials, including videos, characters, animations, games, lesson plans, audio, images, and software code provided through the Service.

2. Account Types & Responsibilities

Teacher Accounts

Teachers create and manage student accounts, organize students into classes, and monitor student progress. By creating a Teacher account, you represent and warrant that:

• You are at least 18 years of age
• You have the authority to create student accounts on behalf of the students in your care
• You will obtain any required parental consent before adding students under 13 to the platform
• You are responsible for the security of all student credentials (Student IDs and PINs) you generate
• You will distribute student credentials only to authorized students and their parents/guardians

Parent Accounts

Parents create accounts for their own children's personal use at home. By creating a Parent account, you represent and warrant that:

• You are at least 18 years of age
• You are the parent or legal guardian of the child who will use the Service
• You consent to your child's use of the Service and to the collection of de-identified usage data as described in our Privacy Policy

Student Accounts

Student accounts are created and managed exclusively by Teachers or Parents. Students log in using a Student ID and PIN assigned by their Teacher. Students cannot:

• Create their own accounts
• Modify their account information
• Communicate with other users through the platform
• Upload or share content of any kind

Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify MLTOONS immediately at info@mltoons.com if you suspect unauthorized access to your account. MLTOONS is not liable for any loss or damage arising from unauthorized use of your account.

3. Teacher Responsibilities for Student Data

Teachers who add students to the platform assume the following responsibilities:

• Parental Notification: Teachers must inform parents/guardians that MLTOONS Español is being used in their classroom and provide parents with access to this Terms & Conditions page and the Privacy Policy.
• Consent Authority: If your school or institution has authorized the use of MLTOONS Español, the Teacher represents that they have been granted authority by the school to consent to the collection of student information on behalf of parents, as permitted under COPPA for educational technology used in schools.
• Credential Security: Teachers are responsible for securely distributing Student IDs and PINs. Credentials should be shared only with the student and their parent/guardian, and never posted publicly.
• Data Review: Teachers may review any Student Data associated with students in their classes through the Teacher Dashboard.
• Student Removal: Teachers may deactivate or remove student accounts at any time. Upon removal, the student's access is immediately revoked.

4. Pilot Program Purpose & "As-Is" Disclaimer

The Mltoons Pilot Spanish Program ("the Program") is a pre-release version of our digital curriculum.

Mltoons makes no warranties, express or implied, regarding the accuracy, reliability, or educational outcomes of the Program.

5. Intellectual Property & Ownership

All content included in the Program—including but not limited to videos, characters, animations, lesson plans, proprietary teaching methodologies, software code, and the "Mltoons" trademark—is the sole and exclusive property of Mltoons.

Strict Prohibition on Copying

No Reverse Engineering

You agree not to decompile, reverse engineer, or attempt to derive the source code or underlying logic of the software.

Reservation of Rights

Participation in this pilot does not grant you any ownership interest or copyright. All rights not expressly granted are reserved by Mltoons.

6. Confidentiality

As a pilot participant, you may have access to "Confidential Information" (unreleased characters, lessons, and business methods).

7. Privacy & Safety (COPPA Compliant)

MLTOONS Español is designed from the ground up to protect children's privacy. We comply with the Children's Online Privacy Protection Act (COPPA) and its 2025 amendments.

Data Minimization

We collect only the minimum information necessary to provide the Service:

• From Parents: Email address, password (hashed), child's first name or nickname, child's age
• From Teachers: Email address, password (hashed), full name
• From Students (teacher-created): First name, age, and class assignment — entered by the Teacher, not the child
• Automatically collected: De-identified usage data (activity completion, scores, progress) used for educational tracking, evaluating program effectiveness, and platform improvement

We do not collect: home addresses, phone numbers, photos, precise geolocation, social media accounts, or any information beyond what is listed above.

Parental Consent

For Parent accounts: By creating an account and checking the agreement box, you provide Verifiable Parental Consent for your child to use the Service and for MLTOONS to collect de-identified usage data for educational purposes, program effectiveness evaluation, and internal improvement.

For Teacher-created student accounts: The Teacher represents that they have obtained appropriate consent — either directly from the parent/guardian or through their school's authorization — to add the student to the platform, as permitted under COPPA's school consent exception.

No Advertising or Data Sales

No Student Communication Features

The Service does not include chat, messaging, social features, or any mechanism for students to communicate with each other or with unknown third parties.

Parental Rights

Parents and legal guardians have the right to:

• Review the personal information collected from their child
• Request deletion of their child's personal information
• Refuse further collection of their child's information
• Request a copy of their child's data in a portable format

8. FERPA Compliance

When MLTOONS Español is used in a school setting, student records may be considered "education records" under the Family Educational Rights and Privacy Act (FERPA).

Our Commitments Under FERPA

• We will not disclose Student Data to any third party except as directed by the school or as required by law
• We will use Student Data solely for the purpose of providing, evaluating, and improving the educational Service
• We will not use Student Data to build profiles for non-educational purposes
• We will comply with lawful requests from schools to access, correct, or delete Student Data
• Upon termination of a school's subscription, Student Data will be returned or deleted at the school's direction

Teacher & School Access

Teachers can access all Student Data for students in their classes through the Teacher Dashboard. Schools and institutions may request access to all Student Data associated with their account at any time by contacting info@mltoons.com.

9. Student Data Ownership & Portability

Data Portability

Parents, Teachers, and Schools may request an export of Student Data at any time by contacting info@mltoons.com. We will provide the data in a commonly used format (such as CSV or PDF) within 30 days of the request.

Data Deletion

You may request deletion of your account and all associated data at any time. Upon receiving a deletion request:

• Parent accounts: All data (including child progress data) will be permanently deleted within 30 days
• Teacher accounts: The teacher's account and class data will be deleted. Student accounts created by the teacher will be deactivated; student progress data will be retained only if the student or parent requests it
• Student accounts: Parents or Teachers may request deletion of any student's data, which will be processed within 30 days

10. Data Retention

We retain data only as long as necessary to provide the Service:

• Active accounts: Data is retained while the account is active and in use
• Inactive accounts: Student accounts that have been inactive for 12 months will be automatically deactivated. Data associated with inactive accounts will be deleted after 24 months of inactivity unless the parent, teacher, or school requests earlier deletion or continued retention
• Cancelled subscriptions: Teacher and Parent account data is retained for 90 days after cancellation to allow for reactivation, then permanently deleted
• De-identified data: Aggregated, de-identified data that cannot be linked to any individual may be retained indefinitely for platform improvement and educational research

11. Data Security

MLTOONS maintains a written information security program designed to protect the confidentiality, integrity, and availability of Student Data and Personal Information.

Security Measures

• Encryption: All data is encrypted in transit (TLS/SSL) and at rest
• Authentication: User passwords are hashed using industry-standard algorithms and never stored in plain text
• Access Control: Access to Student Data is restricted to authorized users (the student's Teacher, Parent, and MLTOONS administrators)
• Infrastructure: Data is stored on Google Firebase/Google Cloud Platform, which maintains SOC 2 Type II, ISO 27001, and other security certifications
• No local storage of sensitive data: Student PINs and credentials are stored in secured cloud infrastructure, not on local devices

Breach Notification

12. Third-Party Services

MLTOONS uses the following third-party services to operate the platform. No Student Data is shared with third parties for advertising or commercial purposes.

• Google Firebase (Authentication & Database): Used for secure user authentication and data storage. Firebase Privacy Policy
• Stripe (Payment Processing): Used for processing subscription payments. Stripe does not receive or have access to Student Data. Stripe Privacy Policy
• Google Analytics: Used to collect de-identified usage statistics for platform improvement. No personally identifiable information is sent to Google Analytics. Google Privacy Policy
• Brevo (Email): Used to send transactional emails (account confirmations, password resets) to adult users only. Student email addresses are not shared with Brevo.

MLTOONS does not integrate with social media platforms, advertising networks, or data brokers.

13. Limitation of Liability

You use this Program at your own risk.

14. Limited License & Termination

Mltoons grants you a limited, non-exclusive, revocable license for personal, non-commercial use.

Mltoons reserves the right to terminate access or end the pilot program at any time without notice.

15. Agreement to Provide Feedback

In exchange for free access:

You grant Mltoons a perpetual, royalty-free license to use your feedback (de-identified) for program development.

16. Subscription Plans & Pricing

MLTOONS Español offers paid subscription plans for Teachers and Institutions.

Teacher Accounts

Pricing is based on the number of students and teacher dashboards. The exact rate will be specified on your invoice or subscription agreement.

Institution Accounts

Institutions may purchase multiple teacher dashboards and student seats. Pricing is based on the number of students and teacher dashboards selected, as specified on your invoice or subscription agreement.

Yearly Billing

Yearly subscriptions include a discount compared to monthly billing, as specified at the time of purchase.

17. Billing & Payment

All payments are processed securely through Stripe. MLTOONS does not store your credit card information.

One-Time Invoices

An administrator may send you a one-time invoice for a specific billing period. Payment is due within the number of days specified on the invoice.

Recurring Subscriptions

If your account is set up with a recurring subscription, Stripe will automatically charge your payment method at the start of each billing cycle (monthly or yearly). You will receive an invoice by email before each charge.

18. Cancellation Policy

You may request cancellation of your subscription at any time by contacting info@mltoons.com.

For example, if you cancel on day 15 of a monthly billing cycle, you will continue to have full access until day 30. After that, your account will be deactivated.

For recurring subscriptions, cancellation stops future automatic charges. The subscription will not renew at the end of the current period.

19. Refund Policy

7-Day Refund Window

If a charge was made in error (e.g., an accidental renewal or administrative mistake), a refund may be requested within 7 days of the charge date.

Processing Fee

Example: If a $100.00 charge is refunded, the processing fee of $3.20 (2.9% + $0.30) will be deducted. You would receive a refund of $96.80.

After 7 Days

Refunds are not available after the 7-day window has passed. Please review your invoices promptly and contact us immediately if you believe a charge was made in error.

How to Request a Refund

Contact info@mltoons.com with your account email and the invoice in question. Refunds are processed back to the original payment method and may take 5–10 business days to appear on your statement.

20. Account Access & Suspension

MLTOONS reserves the right to suspend or terminate any account that:

• Has an unpaid invoice past its due date
• Violates any terms outlined in this agreement
• Is found to be sharing login credentials with unauthorized users
• Engages in unauthorized copying or redistribution of content

Upon cancellation or termination, all student accounts managed under your subscription will also be deactivated at the end of the paid period.

21. Age Requirement

You must be at least 18 years of age to create a Teacher or Institution account on MLTOONS Español.

Student accounts are created and managed by authorized teachers or institutions. Students do not create their own accounts. All student use of the platform is supervised by the responsible teacher or institution.

22. Acceptable Use

By using MLTOONS Español, you agree to the following:

• No credential sharing: Login credentials are for the authorized account holder only and may not be shared with unauthorized individuals
• Appropriate student names: Teachers and institutions are responsible for ensuring that student display names are appropriate and do not contain offensive, vulgar, or discriminatory language
• Educational use only: The platform is intended for educational purposes. Any use of the platform for purposes other than Spanish language learning is prohibited
• No automated access: You may not use bots, scrapers, or automated tools to access or interact with the platform

MLTOONS reserves the right to suspend or terminate accounts that violate these guidelines.

23. Content Updates

MLTOONS Español is an evolving educational platform. Lessons, chapters, characters, activities, and other content may be added, modified, or removed at any time without prior notice.

MLTOONS does not guarantee that any specific content will remain available indefinitely. We are continuously improving our curriculum to provide the best learning experience.

24. Changes to These Terms

MLTOONS reserves the right to update or modify these Terms & Conditions at any time.

Your continued use of the platform after the updated terms take effect constitutes your acceptance of the new terms. If you do not agree with the changes, you may cancel your subscription before the new terms take effect.

25. Indemnification

You agree to indemnify, defend, and hold harmless MLTOONS LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of or access to the Service
• Your violation of these Terms & Conditions
• Your violation of any third-party rights, including intellectual property rights
• Any content or data you provide through the Service

MLTOONS agrees to indemnify Teachers and Schools from claims arising directly from MLTOONS's breach of its data protection obligations as described in these Terms, including its obligations under COPPA and FERPA.

26. Dispute Resolution

Informal Resolution First

Before filing any formal legal proceeding, you agree to first contact MLTOONS at info@mltoons.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved quickly and to your satisfaction through this process.

Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Florida, and the arbitrator's decision shall be final and binding.

Class Action Waiver

Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for matters related to intellectual property rights or unauthorized access to the Service.

27. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

Any disputes arising from or related to these terms or your use of MLTOONS Español shall be resolved in the state or federal courts located in the State of Florida, and you consent to the jurisdiction of such courts.

28. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

29. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between you and MLTOONS LLC regarding your use of the Service. These Terms supersede all prior agreements, communications, and understandings, whether written or oral, relating to the subject matter herein.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. MLTOONS's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
